Terms of Service

Standard commercial terms and conditions governing engineering advisory and diagnostic telemetry audit engagements.

Welcome to Compiler Vertex Point. These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity, “Client”) and Compiler Vertex Point Co., Ltd. (“Company”, “we”, “us”, or “our”), regarding your access to and use of our website located at compilervertexpoint.digital and any technical advisory, diagnostic audits, or verification services provided by us.

1. Acceptance of Terms

By accessing our website or engaging Compiler Vertex Point for any diagnostic audit, canary verification advisory, or technical consultation, you confirm that you have read, understood, and agreed to be bound by these Terms. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. Description of Professional Services

Compiler Vertex Point provides independent software telemetry diagnostics, release impact audits, canary statistical calibrations, and post-deployment regression analyses.

Our services are delivered as expert technical evaluations and advisory recommendations based on telemetry data, metrics, and architecture documentation provided by the Client. We do not provide software warranties regarding third-party platforms or runtime environments.

3. Intellectual Property Rights

  • Company Retained IP: All methodologies, diagnostic frameworks, mathematical scoring models, proprietary scripts, templates, and general knowledge developed or utilized by Compiler Vertex Point prior to or independently of an engagement remain the exclusive intellectual property of the Company.
  • Client Deliverables: Upon full receipt of agreed engagement fees, the Client is granted an irrevocable, non-exclusive, worldwide license to utilize, modify, and internalize all custom audit reports, PromQL queries, and configuration blueprints generated specifically for the Client’s system topology.
  • Client Data & Source Material: All telemetry metrics, system topology schematics, logs, and business data provided by the Client remain the confidential property of the Client.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all proprietary information, architecture diagrams, telemetry samples, and engagement findings as strictly confidential. Neither party will disclose confidential information to any third party without prior written consent, except where required by applicable law. Formal custom Non-Disclosure Agreements (NDAs) may supersede this section when executed concurrently.

5. Payment Terms & Invoicing

  • Diagnostic audits and structured advisory packages are billed on milestone terms (typically 50% upon engagement confirmation and 50% upon final report delivery).
  • Invoices are due within fourteen (14) days of issuance via direct wire transfer (SWIFT) or authorized corporate banking methods in Thailand.
  • All stated fees are exclusive of applicable taxes, withholding duties, or bank transmission fees unless explicitly noted otherwise.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. Compiler Vertex Point shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business interruption arising from the application of our technical recommendations.
  2. In no event shall the total aggregate liability of the Company arising out of or related to any engagement exceed the total fees actually paid by the Client to the Company for the specific diagnostic engagement giving rise to liability.

7. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this contract, including the formation or breach thereof, shall be submitted to the competent courts of Phuket, Thailand, unless mutually resolved through good-faith mediation within thirty (30) business days.

8. Modifications to Terms

We reserve the right to modify these Terms at any time. Any changes will be reflected with an updated “Last Updated” date on this page. Continued engagement or website use following such modifications constitutes acceptance of the revised Terms.
